Xtreme AMMO

ARTICLE I. NAME

This organization shall be known as the Xtreme AMMO, which may also be know as, and is hereinafter designated as Xtreme AMMO or club.

ARTICLE II. OBJECTIVES

The Xtreme AMMO is organized as a non-profit organization for the purpose of:
A. Promoting interest and providing education in the operation of four wheel drive vehicles for recreational purposes.
B. Organizing and conducting social, recreational, and educational activities for its membership.
C. Participating in and supporting civic activities and rendering aid and assistance as needed.

ARTICLE III. MEMBERSHIP

A. Applicants for membership must be eighteen years of age or older, hold a valid Drivers License, and all vehicles participating in club events must meet the state requirements for registration.
B. There shall be three classes of membership, Individual, Family, and Honorary. Benefits of membership:
(1) Individual membership allows individuals to join the organization at a reduced rate in dues (see Article IV for dues assessment). The associate member will receive the monthly club newsletter and be eligible to attend all club activities. An associate member does not have voting privileges.
(2) Family membership allows families to join the organization, receive one copy of the monthly newsletter each month, and participate in all club activities. Family membership authorizes all immediate family members over 18 years of age to vote.
(3) Honorary membership is offered to individuals by club vote (see Article VI for voting requirements). Honorary membership is bestowed upon individuals deemed worthy by the club membership and entitles the member to family or individual membership at no cost. Honorary Memberships are valid for one calendar year at which time the membership will vote to renew or to offer the Membership in a different category.
C. Members are required to conduct themselves in a respectable adult manner so as not to bring disgrace to the organization. Any membership can be revoked for disciplinary reasons as described in Article XII.
D. Membership is transferable between Chapters due to relocation opportunities. When transferred, membership is transferred not position or Office being held.

ARTICLE IV. DUES

A. Dues are paid in one-year increments. Dues will be paid every year on the month you joined.
B. Members dues are considered delinquent after 30 days and membership will be dropped from the records when two months delinquent.
C. Dues will be prorated, on a quarterly basis, for membership transfers to an established chapter or to the starting a new chapter.

ARTICLE V. MEETINGS

A. Meetings shall be held at least once per month. Meetings may be scheduled more often at the discretion of the Board of Directors.
B. A minimum attendance of one-third of the voting membership must be present to be considered a quorum for a meeting.
C. All proceedings will be governed by the President.
D. Meetings of the Board of Directors will be held as required at a different time than the regularly scheduled meeting.

ARTICLE VI. VOTING

A. Voting shall be conducted at scheduled club meetings where the attendance is considered a quorum. A motion will be carried by a simple majority vote.
B. Chapter amendments to these by-laws will be brought forth through motion at a scheduled club meeting and will be voted on at the next scheduled club meeting to allow maximum communication of intent to all club members.
C. The President will not vote except to break a tie.
D. A member is eligible to vote at a meeting only if they have attended one of the three previous meetings, or have received special dispensation from the Board of Directors.

ARTICLE VII. OFFICERS AND BOARD OF DIRECTORS

A. The officers shall be: President, vice-president, Secretary, Treasurer, and Historian. The officers will be know as the Executive Committee and will be voted into office under the provisions set forth in Article VI.
B. The Board of Directors shall consist of the members of the Executive Committee, the immediate past President, up to three directors elected by the membership, and all remaining Charter Members as described in paragraph H, Article VII.
C. No director may chair more than one committee unless voted on as set forth in Article VI.
D. All terms of office shall be for one calendar year. No position may be held for more than two consecutive terms.
E. Officer and Board of Director positions will be voted on at the last scheduled club meeting of the calendar year and newly elected officials will take office on 1 January the following year. In the event of a vacancy in an officer position, a special election will be called to elect a successor. In the event of a vacancy on the Board of Directors, the Board of Directors shall elect a successor.
F. An officer failing to uphold the duties of their office constitutes grounds for immediate removal from office by the Board of Directors, without need for further recall.
G. Any elected official can be recalled by a two-thirds majority vote at a regularly scheduled meeting provided the recall is announced one month prior to the meeting.
H. The remaining founding members (described as those individuals who were members of the club when the original by-laws were signed in January 2000 and have not had a lapse in membership) will be known as Charter Members and afforded permanent seats on the Board of Directors.

ARTICLE VIII. DUTIES AND POWERS OF OFFICERS

A. The President will preside over all membership and board meetings, carry out the policies and decisions of the Board of Directors, and will vote as necessary to break tie votes.
B. The vice-president shall, in the absence of the President serve in that capacity. The vice-president will serve as Parliamentarian and perform duties as directed by the Board of Directors and the President.
C. The Secretary shall document all minutes of the meetings of the membership and Board of Directors, record attendance at each meeting, determine the number of voting members present so that it may be known if a quorum is present, and maintain a file system of active membership records.
D. The Treasurer will maintain and record accountability of all funds belonging to the club, report finance balance at all club meetings, collect all club dues, make payments on all club debts, and distribute assets as directed by the Board of Directors pursuant to Article IX.
E. The Historian will maintain all records of club activities, messages, pictures, past membership records, and will summarize in writing all club events.

ARTICLE IX. FINANCES

A. All monies received shall be immediately turned over to the Treasurer.
B. No withdrawal of funds shall be made without the approval of the Board of Directors. Single expenditures of \\$50 or more must be approved by a vote of the membership as described in Article VI. All expenditures shall have a description of the item for which the money is being used for annotated and a receipt in the records.

ARTICLE X. COMMITTEES

A. The Activities Committee will be headed by the Activities Director who will be one of the three Board of Director positions voted on by the membership. The Activities Director will manage all aspects of the Activities Committee to include requests for funds to be used in carrying out committee objectives. The Activities Committee shall be responsible for planning, organizing, and implementing club activities to include social, recreational, educational, and fund raising events. The Activities Committee will approve all official club events and inform the Secretary, Treasurer and Historian to advertise and document each event.
B. Temporary committees shall be designated at the discretion of the Board of Directors. Each committee will be assigned a committee chairman by the President.

ARTICLE XI. OFFICIAL CLUB EVENTS

A. All official club events will be approved by the Activities Committee pursuant to Article X.
B. All official club events will be governed by a designated Trail Leader. The Trail Leader must be a member in good standing of the club, trained, and listed in the club records as an official Xtreme AMMO Trail Leader.
C. All members and guests attending official club events are subject to the direction of the Trail Leader. Failure to comply with Trail Leader direction is grounds for disciplinary action as described in Article XII.
D. All guests attending official club events must sign The Release and Waiver of Liability and Indemnity Agreement prior to participation. Guests operating vehicles must meet the same requirements as applicants for membership pursuant to these by-laws.
E. Official club events of a competitive nature will be governed by the Activities Committee. The Activities Committee will determine all necessary requirements including but not limited to; entry requirements, classifications, scoring, and prize disbursement.
F. Any vehicle or individual deemed as incapable to participate in an official club event for any reason by the Trail Leader or Activities Committee will be prohibited from participation.
G. The following minimum equipment must be properly installed or carried in (as appropriate) any vehicle participating in a club event whether operated by a member or guest:

  1. Seat belts for all passengers
  2. Spare tire, which fits the vehicle
  3. Jack with pad

ARTICLE XII. DISCIPLINARY ACTIONS

A. All members of the Xtreme AMMO are subject to disciplinary action for their own, their families, or their guest's, infractions against the Club By-Laws, irresponsible behavior, or delinquency.
B. Reported violations worthy of consideration for disciplinary action will be forwarded to the Board of Directors for review. The Board of Directors will review and investigate the incident, to include hearing testimony from the accused, and determine if the incident meets disciplinary action criteria.
C. Incidents meeting disciplinary action criteria will be voted on by the Board of Directors to determine what disciplinary action will be imposed upon the member. Maximum disciplinary action will be revocation of club membership and if appropriate reporting the incident to the appropriate law enforcement agency.
D. Disciplinary action can be imposed for, but not limited to, the following: failure to follow Trail Leader direction, operating a motor vehicle while intoxicated, possession of illegal substances, operating a motor vehicle without a current license or insurance, operating a vehicle or committing other such act in a unsafe manner, willful disregard of the environment.

ARTICLE XIII. BY-LAW AMENDMENT DIRECTIVES

A. Each chapter is authorized to amend these by-laws to meet specific regional requirements or local/state laws.
B. Copies of motioned amendments will be sent to all Chapters for evaluation and guidance. Charter Members and the other Chapters will ensure that the Club objectives are still being met and for possible amendments for their chapter.

ARTICLE XIV. DISSOLUTION

Upon resolution by 4/5's of the membership to dissolve voluntarily, or decree ordering the involuntary liquidation, the assets of the Xtreme AMMO shall first be used to satisfy any outstanding obligations of the club. Any remaining funds shall then be contributed to an organization to be decided by vote of the Board of Directors or the assembled members.
